Terms of Service

CortexDrop ("we", "us", "our") provides a secure file transfer and sharing platform that allows registered users to upload, share, and track files via password-protected, expiring links. The service is available on Free, Starter, Pro, and Business plans with different storage, bandwidth, and feature entitlements.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. Where possible, we will give reasonable advance notice of changes that materially affect paid users.

• You must be at least 13 years old (or the minimum age of digital consent in your country) to use CortexDrop.
• You must provide a valid email address and complete email verification to activate your account.
• You are responsible for all activity that occurs under your account and for keeping your credentials secure.
• You may not create multiple free accounts or use automated means to create accounts.
• You may not transfer your account to another person without our written consent.

You may use CortexDrop only for lawful purposes and in accordance with these Terms. You agree not to upload, share, transmit, or facilitate the distribution of:

• Content that is illegal under applicable local, national, or international law
• Malware, ransomware, viruses, trojan horses, or any other malicious code
• Content that infringes the intellectual property rights of any third party
• Content that harasses, threatens, defames, or incites violence against individuals or groups
• Spam, phishing materials, or deceptive content
• Child sexual abuse material (CSAM) — zero tolerance; any such content will be immediately reported to the relevant authorities and law enforcement

We reserve the right to remove any content and suspend or terminate any account that violates these terms, without prior notice and without liability.

Your plan determines your storage quota, per-file size limit, monthly bandwidth allowance, and maximum link expiry duration. Current plan limits are published on our pricing page.

• Files that exceed your plan's per-file size limit will be rejected at upload.
• If your storage usage exceeds your plan quota following a plan change, you will receive a 30-day grace period to resolve the overage — either by upgrading your plan or deleting files. After the grace period, the oldest files may be automatically removed until your usage is within your quota.
• Bandwidth is measured on a calendar-month basis and resets at the start of each month.
• We may throttle or temporarily restrict access if usage patterns indicate abuse or excessive load.

Paid plans are billed in advance on a monthly or annual basis depending on the billing cycle you choose. All prices are listed in USD and exclusive of any applicable taxes, which may be added at checkout depending on your location.

• Cancellation — you may cancel your paid plan at any time. Your plan remains active until the end of the current billing period; we do not provide prorated refunds for unused time.
• Downgrades — if you downgrade to a lower plan, the change takes effect at the end of your billing period. Storage overages are subject to the grace period described in Section 4.
• Price changes — we will give at least 30 days' advance notice of any price increases to active paid subscribers.
• Failed payments — if a payment fails, we may downgrade your account to the Free plan after a reasonable grace period.

You retain full ownership of all files and content you upload to CortexDrop. By uploading content, you grant us a limited, non-exclusive, royalty-free license to store, transmit, and deliver that content solely as necessary to provide the service to you and your designated recipients.

This license terminates when your content is deleted (either manually by you, upon transfer expiry, or upon account termination). We do not claim any ownership rights over your content.

CortexDrop's name, logo, product design, and software are protected by intellectual property law. You may not copy, modify, or distribute them without our written permission.

Your use of the service is governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. The Privacy Policy is incorporated into these Terms by reference.

We aim to maintain high availability and reliability, but we do not guarantee that the service will be uninterrupted, error-free, or free from security vulnerabilities at all times.

The service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.

CortexDrop is not a backup service. You are responsible for maintaining independent copies of any files that are important to you. We are not liable for data loss due to transfer expiry, accidental deletion, or service interruption.

To the fullest extent permitted by applicable law, CortexDrop and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of data, revenue, or goodwill — arising from your use of, or inability to use, the service.

Our aggregate liability for any claim arising under these Terms shall not exceed the total amount you paid to CortexDrop in the 12 months preceding the event giving rise to the claim, or USD $50, whichever is greater.

You agree to indemnify, defend, and hold harmless CortexDrop and its affiliates from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from your violation of these Terms, your content, or your use of the service.

Either party may terminate the agreement at any time. You may close your account from your account settings; we will begin deleting your files and personal data within 30 days.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a risk to other users or the platform. In such cases, you will not be entitled to a refund of any prepaid fees.

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be resolved through good-faith negotiation; if unresolved, through binding arbitration or a competent court of jurisdiction, as required by law.

We may revise these Terms periodically. When we make material changes, we will notify registered users by email at least 14 days before the new terms take effect. The updated date at the top of this page reflects the most recent revision. Continued use of the service after changes take effect constitutes your acceptance of the revised Terms.
